The Render Network Foundation Bounty Program Terms and Conditions

The Render Network Foundation ("the Foundation," "we," "us," or "our"), a Cayman Islands Foundation Company, offers this Bounty Program ("Program") to encourage community participation and contributions to the development, promotion, and security of The Render Network ecosystem. By participating in the Program, you ("Participant," "you," or "your") agree to be bound by these Terms and Conditions ("T&Cs"). Please read these T&Cs carefully before participating.

1. Program Overview

The Program invites eligible individuals or entities to contribute to The Render Network by performing tasks or submitting deliverables as outlined in specific bounty campaigns ("Bounties"). These may include, but are not limited to, bug reporting, software development, content creation, translations, marketing activities, or other tasks specified by the Foundation. Rewards for successful contributions may include digital assets (e.g., RENDER), USDC, fiat currency, or other incentives as determined by the Foundation.

2. Eligibility

2.1. To participate, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Not be a resident or citizen of, or located in, any jurisdiction where participation in the Program or receipt of rewards is prohibited by law, including but not limited to jurisdictions subject to sanctions or embargoes imposed by the Cayman Islands, United States, European Union, or United Nations.
  • Comply with all applicable local, national, and international laws, including tax and anti-money laundering (AML) regulations.
  • Not be an employee, contractor, or affiliate of the Foundation or its subsidiaries, unless expressly permitted by the Foundation.

2.2.

The Foundation reserves the right to disqualify any Participant who violates these T&Cs or whose participation may harm the Foundation or The Render Network.

2.3.

The Foundation may, at its sole discretion, require Participants to provide additional documentation, including but not limited to Know Your Customer (KYC) verification, signed contracts, or other materials to confirm eligibility or compliance with applicable laws.

3. Participation and Submission Guidelines

3.1. Bounty Campaigns:

Each Bounty will have specific guidelines, tasks, reward structures, and deadlines, which will be published on the Foundation's official website, platform, or designated communication channels (e.g., The Render Network's website, Discord, or other platforms).

3.2. Submission Process:

Participants must submit contributions through the designated submission process outlined in each Bounty. Submissions must meet all specified requirements, including format, content, and deadlines. Participants hereby give the Foundation the right to use and process the personal information of the Participants that is provided in connection with their submissions. The Foundation may post the names of Bounty winners on the Foundation's website and may use the names, likenesses and other personal identification of Bounty winners in connection with the Bounty program, its promotion and the subject matter of any Bounty that a Participant receives. The Foundation's use of any such personal information will be governed by the Foundation's privacy policy which can be found at [insert url].

3.3. Quality Standards:

Contributions must be the sole original work of the Participant making the submission, meet the Foundation's quality standards, and comply with the Bounty's guidelines. Any ambiguity or lack of clarity in Bounty guidelines will be resolved in the sole judgment of the Foundation. The Foundation reserves the right to reject submissions that are incomplete, fraudulent, or do not meet stated criteria and the right to disqualify Participants who make any such submissions. Determination of compliance with the requirements of this paragraph will be made by the Foundation in its sole discretion, and the Foundation's sole determination will be final and binding on all Participants.

3.4. Additional Documentation:

For certain Bounties, the Foundation may require Participants to execute additional agreements (e.g., contracts, non-disclosure agreements) or provide KYC/AML documentation before rewards are issued. Failure to provide such documentation may result in disqualification or forfeiture of rewards.

3.5. No Guarantee of Reward:

Participation does not guarantee a reward. Rewards are issued solely at the Foundation's discretion, based on the quality, validity, and compliance of submissions.

4. Rewards

4.1. Reward Types:

Rewards may include RENDER, USDC, fiat currency, or other incentives as specified in each Bounty. The Foundation reserves the right to modify reward types or amounts at its discretion. Whether a submission complies with the requirements of the Program and whether any given submission qualifies for a Reward will be determined by the Foundation in its sole discretion, and the Foundation's determination regarding the same will be final and binding on all Participants.

4.2. Reward Distribution:

Rewards will be distributed according to the timeline and process outlined in each Bounty. Participants are responsible for providing accurate wallet addresses or payment details. The Foundation is not liable for rewards sent to incorrect addresses due to Participant error.

4.3. Tax and Compliance:

Participants are solely responsible for any taxes, duties, or other obligations arising from receiving rewards. The Foundation may withhold or deduct amounts as required by law or request tax-related documentation (e.g., W-8/W-9 forms) before distributing rewards.

4.4. Non-Transferability:

Rewards are non-transferable until distributed to the Participant.

5. Intellectual Property

5.1. Ownership of Submissions:

By submitting a contribution, you grant the Foundation a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, modify, distribute, and incorporate your submission into The Render Network or related projects, unless otherwise specified in a Bounty or separate agreement.

5.2. IP Assignment:

For certain Bounties (e.g., software development, creative works), the Foundation may require Participants to assign full intellectual property rights to the Foundation. Such requirements will be specified in the Bounty guidelines or a separate contract.

5.3. Original Work:

You represent and warrant that your submissions are your sole original work, do not infringe on third-party rights, and comply with all applicable laws.

6. Confidentiality

6.1.

Participants may receive access to confidential or proprietary information related to The Render Network. You agree to maintain the confidentiality of such information and not disclose it to third parties or to use it for any purpose other than participation in the Bounty program without the Foundation's prior written consent.

6.2.

For certain Bounties, the Foundation may require Participants to sign a non-disclosure agreement (NDA) as a condition of participation.

7. Prohibited Conduct

Participants may not:

  • Submit fraudulent, plagiarized, or malicious contributions (e.g., malware, exploits).
  • Attempt to manipulate or abuse the Program or its reward system.
  • Violate applicable laws, including intellectual property, data protection, or securities regulations.
  • Engage in conduct that harms the Foundation, The Render Network, or other Participants.

The Foundation reserves the right to disqualify Participants and pursue legal action for violations of this section.

8. Regulatory Compliance

8.1. KYC/AML:

The Foundation may require Participants to complete KYC/AML verification for certain Bounties, particularly those involving high-value rewards. Failure to comply may result in forfeiture of rewards.

8.2. Sanctions:

Participants must not be listed on any sanctions lists or reside in jurisdictions subject to sanctions that prohibit participation in the Program.

8.3. Laws:

Holding and trading rewards, including RENDER, may be subject to various laws and regulations. Participants are responsible for ensuring compliance with all laws and regulations regarding the holding and trading of their Rewards.

9. Dispute Resolution

9.1. Governing Law:

These T&Cs and the Program are governed by the laws of the Cayman Islands, without regard to conflict of law principles.

9.2. Arbitration:

Any controversy, dispute or claim between the parties arising out of or relating to this Agreement (including, without limitation, the breach, termination or validity thereof), shall be settled by arbitration administered by the Cayman Islands International Arbitration Centre (CIAC) in accordance with the Arbitration Act (as amended) of the Cayman Islands. The arbitration shall be seated in George Town, Cayman Islands, and shall be heard in the English language and determined by a sole arbitrator. Any award or decision made by the arbitrator shall be in writing and shall be final and binding on the parties, and judgment upon any award thus obtained may be entered in or enforced by any court having jurisdiction thereof. No action at law or in equity based upon any claim arising out of or related to this Agreement shall be instituted in any court of any jurisdiction by Participant.

10. Limitation of Liability

10.1.

The Foundation is not liable for any direct, indirect, incidental, consequential or other damages arising from the Program or your participation in the Program, including but not limited to loss of rewards, data breaches, or technical issues, and you hereby release the Foundation and all persons participating in the Program from all such damages, known or unknown.

10.2.

The Program is provided on an "as-is" basis, and the Foundation makes no warranties regarding the availability, accuracy, or security of the Program or The Render Network.

11. Amendments and Termination

11.1.

The Foundation reserves the right to modify, suspend, or terminate the Program or these T&Cs at any time, with or without notice. Changes will be posted on the Foundation's official website or communication channels.

11.2.

Continued participation after changes to the T&Cs constitutes acceptance of the revised terms.

12. Additional Agreements

The Foundation may, at its sole discretion, require Participants to execute additional contracts, NDAs, or other agreements for specific Bounties. Such requirements will be communicated in the Bounty guidelines or during the submission process.

14. Miscellaneous

14.1. Severability:

If any provision of these T&Cs is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

14.2. Entire Agreement:

These T&Cs, along with any Bounty-specific guidelines or additional agreements required by the Foundation, constitute the entire agreement between you and the Foundation regarding the Program.

14.3. No Waiver:

The Foundation's failure to enforce any provision of these T&Cs does not constitute a waiver of that provision.

Important Notice:

These terms and conditions constitute a legally binding agreement. By participating in the Render Network Foundation Bounty Program, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with any part of these terms, you should not participate in the Program.
